By accessing or using Dypher ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. These terms apply to all users, including organization administrators and invited members.

2. Description of Service

Dypher is a governance and compliance platform that helps founders manage corporate registries, compliance obligations, document management, and financial summaries across multiple jurisdictions. The Service provides organizational tools for tracking governance requirements and maintaining audit-ready records.

4. User Responsibilities

You are responsible for:

  • Maintaining the security of your account credentials

  • Obtaining consent from individuals whose personal data you store in the Service (directors, shareholders, UBOs)
  • Backing up your data as needed

  • Reverse engineer, decompile, or disassemble any part of the Service

The Service, including its design, code, features, and documentation, is owned by Dypher and protected by intellectual property laws. You retain ownership of all data you input into the Service. By using the Service, you grant us a limited license to process your data solely for the purpose of providing the Service.

7. Limitation of Liability

To the maximum extent permitted by law, Dypher shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Dypher is incorporated, without regard to conflict of law principles.

9. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via the Service or email at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance of the new Terms.
